These Terms of Use (“Terms”) govern your access to and use of the applications, software, websites, and services provided by Two App Studio Pte. Ltd. (“Knoon.ai”, “Licensor”, “we”, “us”, or “our”).
By accessing or using any Knoon.ai product or service (“Service”), you agree to these Terms.

1. License & Use Rights

We grant you a limited, non-exclusive, non-transferable license to access and use the Service in accordance with these Terms.

You may not:

  • copy, modify, distribute, rent, lease, sublicense, or sell the Service
  • reverse-engineer, decompile, or attempt to extract source code
  • bypass or interfere with security, rate limits, or access controls
  • use the Service in any unlawful or harmful manner

We reserve all rights not expressly granted to you.

2. User Accounts & Security

You are responsible for:

  • maintaining the confidentiality of your login credentials
  • all activity occurring under your account
  • ensuring your devices and API tokens are secure
  • immediately reporting unauthorized access to us

We are not responsible for losses arising from compromised credentials.

3. Technical Data & System Usage

We may collect technical, diagnostic, and performance information to operate, improve, and support the Service.
This includes device details, logs, usage metrics, and integration metadata.

4. Personal Data Storage Restrictions

To protect end users, you may store only minimal, non-sensitive user information, such as:

  • External ID
  • Email address
  • Country
  • Gender
  • Membership tier

You must not store or transmit:

  • residential or mailing addresses
  • credit card or bank information
  • government-issued IDs
  • medical or health data
  • biometric identifiers
  • any sensitive personal data not required for basic support or verification

You are fully responsible for compliance with applicable data laws when using the Service.

5. Acceptable Use Policy (AUP)

You agree not to use the Service to:

  • violate any law or regulation
  • store, upload, or transmit harmful, fraudulent, misleading, or unlawful content
  • impersonate others or access accounts without authorization
  • conduct phishing, spam, harassment, or harmful automations
  • introduce malware, bots, scrapers, or unauthorized scripts
  • interfere with system integrity, performance, or security
  • circumvent quotas, API limits, or billing systems
  • train competing AI models on the Service outputs

Violation may result in immediate suspension or termination.

6. User Content & Rights

You retain ownership of all content you upload or provide (“User Content”).
You grant Knoon.ai a non-exclusive, worldwide license to:

  • store, process, transmit, display, and analyze User Content
  • index User Content to provide features (search, automation, AI responses)
  • use User Content to operate and improve the Service

You represent and warrant that:

  • you have the necessary rights to provide User Content
  • User Content does not infringe any third-party rights

We may remove or disable access to User Content that violates these Terms.

7. AI Output & Automation Disclaimers

The Service includes features powered by AI, automation agents, large language models, and external APIs.
By using these features, you acknowledge and agree that:

  • AI output may be inaccurate, incomplete, harmful, outdated, biased, or hallucinated
  • AI is not a substitute for professional advice (legal, medical, financial, safety-critical)
  • All outputs must be reviewed and validated by you
  • You are solely responsible for actions triggered by automations or agents
  • Misconfigurations may cause unintended actions (e.g., sending emails, updating Sheets, modifying calendars)

Knoon.ai is not responsible for decisions or actions you take based on AI or automation outputs.

8. Tools, Integrations & Third-Party Services

The Service may connect to third-party applications such as:

  • Google Workspace (Docs, Sheets, Calendar, Drive)
  • Microsoft services
  • Shopify
  • Ghost CMS
  • SMTP providers
  • Webhooks, APIs, and other integrations

You acknowledge that:

  • third-party services are governed by their own terms
  • downtime, API limits, errors, and policy changes may affect functionality
  • we are not liable for data loss, corruption, or outages caused by external systems
  • you must secure and manage your API keys, tokens, and service accounts
  • you must ensure actions are scoped correctly (e.g., using data.contact.externalId)

Use of third-party services is entirely at your own risk.

9. Billing, Subscriptions & Refunds

If you purchase a subscription:

  • fees are billed in advance on a recurring basis
  • you authorize us to charge your payment method automatically
  • subscriptions continue until canceled
  • cancellations take effect at the end of the current billing period
  • unless required by law, payments are non-refundable

You are responsible for all taxes imposed by your jurisdiction.

10. Service Availability & Changes

We may modify, update, suspend, or discontinue any part of the Service at any time.

We do not guarantee:

  • uninterrupted access
  • error-free performance
  • data storage reliability
  • compatibility with specific browsers or devices

We may impose usage limits, quotas, or restrictions to maintain system performance.

11. Beta & Experimental Features

Some features may be offered as experimental, preview, or beta.

These may:

  • change without notice
  • be unstable
  • produce incorrect or unsafe output
  • be discontinued at any time

You use these features at your own risk.

12. Feedback

If you provide feedback, suggestions, or ideas, you grant us a perpetual, royalty-free license to use them without obligation or compensation.

13. Age Requirements

You must be:

  • at least 18 years old, or
  • the legal age of majority in your jurisdiction

to use the Service.

If you use the Service on behalf of an organization, you confirm you have authority to bind that organization to these Terms.

14. Export Compliance

You agree not to use the Service in violation of export restrictions or sanctions laws.
You represent that you are not located in a restricted or embargoed country.

15. Disclaimers (No Warranty)

The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express or implied.

We disclaim all warranties, including:

  • merchantability
  • fitness for a particular purpose
  • accuracy
  • reliability
  • non-infringement

You use the Service entirely at your own risk.

16. Limitation of Liability

To the maximum extent permitted by law:

  • we are not liable for indirect, incidental, consequential, or punitive damages, including loss of profits, revenue, data, or business
  • our total liability under these Terms is limited to USD $50.00

Some jurisdictions do not allow such limitations; where prohibited, the limitation applies only to the extent allowed.

17. Indemnification

You agree to indemnify, defend, and hold harmless Knoon.ai against any claims, damages, or liabilities arising from:

  • your use of the Service
  • your User Content
  • your breach of these Terms
  • your violation of third-party rights

18. Changes to These Terms

We may update these Terms at any time.
Your continued use of the Service after updates indicates acceptance of the new Terms.

19. Severability

If any provision is found invalid or unenforceable, the remaining provisions remain in full force.

20. Governing Law

These Terms are governed by the laws of the Republic of Singapore, excluding its conflict-of-law rules.
